TERMS AND CONDITIONS

1. By submitting an entry, you fully and unconditionally agree to and accept these Official Rules.
2. Contest entries are limited to the United States and District of Columbia and are void where prohibited by law. All federal, state and local laws and regulations apply. Subject to any governmental approval that may be required, Sponsor reserves the right to, without prior notice and at any time, terminate the Contest, in whole or in part, or modify the Contest in any way, should any factor interfere with its proper conduct as contemplated by these Official Rules. Contest will begin on February 15, 2012 and will end on March 24, 2012. Sponsor reserves the right in its sole discretion, to cancel the Contest in its entirety, or only the online portion, if it becomes technically corrupted or because of non-authorized human intervention.
3. Eligibility. Must be at least 18 years old to enter. Employees, officers, or directors of Sponsor, its parent companies, affiliates, subsidiaries, and their children, parents, spouse, and members of their household are ineligible to participate. No purchase necessary. Contest is open only to legal residents of the United States. A purchase does not enhance your chance of winning.
4. Effective date of entries. Entries made online will be effective on the day they are submitted to our online Gallery. All entries become the exclusive property of A Cherry on Top and will not be acknowledged or returned. You are responsible for your costs of entering, including online access charges, long distance telephone charges.
5. Selection of winner. The winner will be determined by judging criteria -- Originality and innovation. Imaginiative use of materials. Quality of workmanship Photo quality. Overall presentation -- from all eligible entries received. Winners must agree to the use of their names and/or likeness for the purpose of advertising, trade, or promotion without further compensation, unless prohibited by law.
6. Notification of winner. Our Contest winner will be notified by email or by phone within one week after the contest ends. All decisions are final and binding. Should the email be returned to the Sponsor as invalid, two more attempts will be made via email and one by regular mail if applicable. Winner must contact the Sponsor within 5 calendar days from the date the notification is sent by Sponsor to claim their prize. Failure to contact Sponsor within that 5 day period will result in immediate disqualification of the selected entrant and a new winner will be selected. No exceptions will be made to this rule. Sponsor is not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify winners.
7. Odds of winning. The odds of winning any contest will be determined by the number of eligible entries received.
8. Prizes: Sponsor will award one (1) winner one (1) $100 Gift Certificate redeemable at ACherryOnTop.com
9. Internet: If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Contest. 
   
   CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. 
   
   Online entry can only be made via one (1) account per person. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
10. Submit and View Entries: By submitting images to the ACherryOntop Gallery, you hereby represent and warrant that the submitted photo or information does not and shall not infringe on any copyright, any rights of privacy or publicity of any person, or any other right of any third party, and you have the right to grant any and all rights and licenses granted to ACherryOnTop herein, including but not limited to all necessary rights under copyright, free and clear of any claims or encumbrances;
11. You acknowledge and agree that ACherryOnTop shall have no obligation to post, display or otherwise make publicly available any photo or information submitted by you, and may, in its sole and unfettered discretion, remove, edit, modify or delete any photo or information that you submit to ACherryOnTop.
12. Tax Information: Payment of all taxes and fees on prizes won are the sole responsibility of the winner. Winners must check with their own tax counsel to ascertain whether a prize will generate taxable income, and, if so, the amount.
13. Substitution of Prizes: No substitution or transfer of prizes will be accommodated or permitted, other than at the sold discretion of ACherryOnTop.com.
14. Publication: Acceptance of any prize constitutes permission for ACherryOnTop, its affiliates, subsidiaries, advertising and promotional agencies to use winner's name, likenesses, and submitted layouts for advertising and promotional purposes without additional compensation unless prohibited by law. 
15. Other conditions. Sponsor, its agents and representatives, its parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and legal advisors are not responsible for and will not be liable for (I) late, lost, damaged, misdirected, incomplete, unintelligible or postage due entries; (II) telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures or difficulties of any kind; (III) failed, incomplete, garbled or delayed computer transmissions; (IV) any condition caused by events beyond the control of Sponsor that may cause Contest to be disrupted or corrupted; (V) any injuries losses or damages of any kind arising in connection with or as a result of the Contest, or from participation in the Contest; or (VI) any printing or typographical error in any material associated with the Contest.  
16. Indemnification. You agree to release and hold Sponsor, its employees, officers, directors, shareholders, agents, representatives, parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the contest, including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy. This contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to A Cherry on Top and the contest sponsor, not to Facebook.
17. Choice of law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and Sponsor in connection with the Contest, will be governed by, and construed in accordance with, the substantive laws of the state of Michigan. 
18. Winners List: For a list of winner(s), send a stamped, self-addressed envelope, post-marked at any time during the Term for the Official Rules and no later than the 15th day of each month to receive the prior month’s winners, to: A Cherry On Top Contest, 2216 Midland Road, Saginaw, MI  48603. VT residents can exclude return postage.
19. Privacy Statement:  By supplying your email address, you are granting the Sponsor permission to provide you with email and or postal offers. We will not sell, distribute or lease your personal information to third parties unless we have your permission or are required by law to do so. We may use your personal information to send you promotional information about third parties which we think you may find interesting.
